Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Chronalio’s applications, websites, and related services (the “Services”) operated by Chronalio. By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old (or the age of digital consent in your jurisdiction) and capable of forming a binding contract. If you use Chronalio on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Services

Chronalio provides tools to notify trusted contacts during emergencies, manage family circles, share location and media context during incidents, track journeys, Chronalio Intelligence (an optional AI safety companion), and related safety features. Features may evolve over time. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable, including planned maintenance windows.

3. Not a substitute for emergency services

Chronalio is not an emergency dispatch service and does not replace police, fire, ambulance, or other public emergency services. In a life-threatening situation, call your local emergency number immediately. Network outages, device failures, permission denials, or misconfiguration may delay or prevent alerts.

4. Accounts and security

• Provide accurate information and keep your email accessible
• Protect your password, enable MFA, and secure devices used for Chronalio
• Notify us promptly of unauthorised access
• You are responsible for activity under your account
• You may request account deletion as described in our Privacy Policy and in-app Settings

5. User responsibilities

• Use the Services only for legitimate personal or family safety
• Keep permissions configured so emergency features can function
• Ensure invitees have a legitimate reason to join your circle
• Do not rely solely on Chronalio where professional emergency response is required

6. Acceptable use

You agree not to:

• Use Chronalio to harass, threaten, stalk, or harm others
• Trigger false alerts intentionally or for pranks
• Attempt to access data or circles you are not invited to
• Reverse engineer, scrape, or disrupt the Services
• Upload malware or abuse support attachment endpoints
• Violate applicable laws or third-party rights
• Circumvent rate limits, security controls, or maintenance restrictions except as expressly authorised

7. Circles and invitations

When you invite someone to a circle, you confirm you have a legitimate reason to do so. Circle admins are responsible for managing membership appropriately. Members should only use shared location and media for legitimate safety purposes.

8. Fees and subscriptions

Core features are currently offered free of charge during Founding Free access. If paid plans, SMS credits, or in-app purchases are offered, pricing, billing terms, renewal, and cancellation rules will be disclosed before purchase. Taxes may apply. Platform store terms (Apple App Store / Google Play) may also apply to purchases made through those stores. See Pricing for current details.

9. Intellectual property

Chronalio, its logos, branding, documentation, and software are owned by us or our licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Services as intended. You may not copy, modify, distribute, sell, or create derivative works from our software except as allowed by law. Feedback you provide may be used freely to improve the product without obligation to you.

10. Chronalio Intelligence (AI companion)

• Chronalio Intelligence provides assistive chat and optional voice interaction. It is not medical, legal, mental-health, or emergency advice, and it does not replace professional responders.
• Model outputs may be incomplete, inaccurate, or outdated. You remain responsible for verifying critical information and for contacting local emergency services when needed.
• Critical safety actions requested through the companion (including triggering HELP, ending or pausing journeys, all clear, and certain check-ins) require your explicit confirmation in the app before they run.
• Voice input is push-to-talk in current releases; we do not promise always-on wake-phrase listening.
• Do not submit unlawful content, others’ sensitive data without a lawful basis, or content intended to abuse the companion or the Services.

11. Privacy

Our Privacy Policy describes how we handle personal data, including Intelligence prompts, speech, and processors. By using the Services, you acknowledge that processing.

12. Service availability and maintenance

We aim for high availability but do not guarantee uninterrupted access. We may enable a maintenance mode that limits non-critical features while preserving emergency HELP functionality where reasonably practicable. Scheduled or emergency maintenance may occur without prior notice when necessary for security or integrity. See System status for current availability.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ALERTS WILL BE DELIVERED WITHOUT DELAY OR ERROR, THAT AI COMPANION OUTPUTS WILL BE ACCURATE OR COMPLETE, OR THAT THE SERVICES WILL PREVENT HARM.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHRONALIO AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING FROM THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted. Nothing in these Terms excludes liability that cannot be excluded under applicable law (including for death or personal injury caused by negligence where such exclusion is prohibited).

15. Indemnity

You agree to indemnify and hold harmless Chronalio from claims arising out of your misuse of the Services, violation of these Terms, or infringement of others’ rights — except to the extent caused by our wilful misconduct.

16. Suspension and termination

You may stop using the Services at any time and may request account deletion. We may suspend or terminate access for violations, fraud, risk to others, legal compulsion, or extended inactivity. Upon termination, provisions that by nature should survive (including intellectual property, disclaimers, liability limits, and indemnity) will survive.

17. Governing law

These Terms are governed by the laws applicable to Chronalio’s primary place of business, without regard to conflict-of-law rules, except that mandatory consumer protections in your country of residence remain unaffected. Where a specific venue is required, disputes may be heard in a competent court with jurisdiction over Chronalio or you, subject to those protections.

18. Changes

We may update these Terms. Continued use after changes become effective constitutes acceptance where permitted by law. Material changes will be indicated by updating the date above and, where appropriate, additional notice in-app or by email.
